Terms and conditions for using Ramp Network’s on-ramp and off-ramp services.
These Terms of Use create a legally binding agreement between the User and ELB DIGITAL GROUP SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, operating under the commercial name Monetrix ( hereinafter referred to as "Monetrix," "we," "us," or "our" ), a company incorporated in Poland under the following registration details:
These Terms of Use govern the User’s access to and use of our website, as well as any services, products, and content provided by Monetrix. In these Terms of Use, " Monetrix " refers to the company ELB DIGITAL GROUP SP. Z O.O. , as well as its owners, directors, employees, agents, and affiliates, unless otherwise stated. The User should carefully read and understand these Terms of Use before using our services. The User is solely responsible for ensuring compliance with all applicable laws, regulations, and rules in their jurisdiction regarding the use of our services. By agreeing to these Terms of Use, the User also agrees to be bound by our Privacy Policy, as well as any other policies published on our website, which are incorporated herein by reference. If the User does not agree to these Terms of Use, they should not access this website or use any of Monetrix ’s services, products, or content.
In these Terms of Use, capitalized terms shall have the following meanings:
Account: Refers to the verified User’s personal account, where they can view their transaction
history and personal data.
Buyer: Refers to the User who purchases virtual currency using fiat currency via the
Platform.
Commission: Refers to the fee charged by a third party ( e.g., a bank, payment service
provider, or non-bank financial institution ) on behalf of Monetrix.
Fiat Currency: Refers to government-issued currency that is legally recognized as tender under
government decree, regulation, or law. Monetrix only supports EUR.
Funds: Refers to virtual currency or fiat currency.
AML/CFT Regulations: Refers to applicable Anti-Money Laundering (AML) and Countering the
Financing of Terrorism (CFT) laws in the European Economic Area (EEA).
Non-Supported Countries: Refers to the list of countries where Monetrix does not offer services, including but not limited to:
Platform: Refers to the Monetrix digital environment that allows Users to exchange fiat currency
(EUR) for virtual currency and vice versa.
Purchase: Refers to the User’s instruction to buy virtual currency using EUR and transfer it to
a self-custodied wallet provided in advance by the User.
Services: Refers to all and any services provided by Monetrix, including on-ramp (
fiat-to-crypto ) and off-ramp ( crypto-to-fiat ) exchange
services.
Site: Refers to the Monetrix website at [ insert official website URL ].
Transaction Fee: Refers to the fee payable to Monetrix for each completed Transaction.
Transaction Price: Refers to the total price paid by the Buyer for each Transaction performed
via the Service.
Transaction Price: Refers to the total price paid by the Buyer for each Transaction performed via the Service.
User: Refers to any individual or entity using the Services and agreeing to these Terms of Use.
Virtual Currency: Refers to a digital asset that is digitally transferable, preservable, or
tradable and accepted as a payment instrument, but not considered legal tender ( e.g.,
cryptocurrencies such as BTC, USDT ).
Where the context requires, words denoting the singular shall include the plural and vice versa.
The Services offered by Monetrix allow verified Users to purchase and sell virtual currencies
using fiat currency (EUR).
Depending on the User’s country of residence, they may not be eligible to use some or all of
Monetrix’s services. It is the User’s sole responsibility to ensure compliance with the laws and
regulations applicable in their jurisdiction before accessing or using the Platform.
Due to the irreversible nature of blockchain transactions, once a transaction is initiated,
Monetrix cannot modify, refund, or re-route payments to a different wallet address. Users must
carefully verify wallet addresses before confirming a transaction.
The User has the right to access and use the Monetrix website, platform, and services, provided
they agree to and comply with these Terms of Use. By using the Platform, the User confirms
acceptance of these Terms and agrees to comply with them.
The User is responsible for carefully reading the entire Terms of Use before using any of
Monetrix’s services.
The User is solely responsible for ensuring compliance with all applicable laws and regulations
in their jurisdiction related to the use of Monetrix’s services.
The User must provide accurate and up-to-date information for all transactions and account
verifications. Any request for additional documents to comply with anti-money laundering (AML)
and counter-financing of terrorism (CFT) regulations must be fulfilled in a timely manner.
The User must actively monitor their transactions and account activity and provide any requested
supporting documentation to prevent delays or cancellations.
The User must immediately inform Monetrix of any unusual, suspicious, unclear, or unauthorized
activity related to their account or transactions. Failure to do so may result in account
suspension or reporting to the relevant authorities.
Users are prohibited from having multiple accounts. Each User is responsible for maintaining the
confidentiality of their account credentials, including passwords and security codes. Monetrix
is not liable for unauthorized access due to negligence in safeguarding credentials.
The User acknowledges that once a transaction is executed, Monetrix receives fiat currency from
the Buyer and transfers virtual currency to the wallet specified by the User. Transactions are
final and cannot be reversed.
The User must notify Monetrix immediately in case of unauthorized access to their account or a
breach of security by contacting support@monetrix.eu . Failure to report security
incidents in a timely manner may result in account suspension or liability for any damages
incurred.
The User must not use Monetrix’s services for illegal activities, including but not limited to :
The User is responsible for any damages, claims, or legal actions arising from violations of
third-party rights or applicable laws when using Monetrix’s services.
Nothing in these Terms of Use excludes or limits the User’s liability for fraudulent activities,
negligence resulting in harm, or violations of mandatory legal provisions.
The User is solely responsible for assessing the risks associated with their transactions,
including price volatility and the potential loss of funds.
All payment methods used for transactions on Monetrix ( bank accounts, credit/debit cards,
etc. ) must be owned and registered in the User’s name. Transactions using
third-party payment details will be considered fraudulent and may result in account suspension
or legal action.
By performing a transaction on Monetrix, the User expressly represents and warrants that
they:
- Comply with all applicable laws and regulations in their country of residence and/or the
country from which they access the Monetrix platform and services.
- Have read, understood, and accepted these Terms of Use.
- Are at least 18 years old and have the legal capacity to enter into transactions involving
virtual currencies.
The User represents and warrants that they will only use Monetrix to perform transactions in
accordance with the conditions set forth in these Terms and that they have the legal authority
and capacity to do so.
The User represents and warrants that any fiat funds used to purchase virtual currencies belong
to them and originate from legal sources.
The User represents and warrants that all transactions they conduct do not infringe on the
rights of any third party or violate any applicable laws.
The User understands that their personal data and transaction details may be shared with
authorized third parties, as required by law, including but not limited to anti-money laundering
(AML) and tax compliance obligations, or to facilitate the requested services.
Monetrix reserves the right to suspend a User’s transaction and temporarily hold virtual
currency before its transfer to the specified wallet address, or fiat currency used in a
transaction, in cases of non-compliance or partial compliance with these Terms of Use by the
User.
Monetrix commits to providing its services with the utmost effort, due diligence, and in strict
accordance with these Terms of Use.
Monetrix's liability is strictly limited to employing reasonable technical efforts to ensure the
successful transfer of virtual currency. Once a transaction is initiated to the wallet address
provided by the User, Monetrix's responsibility is further limited to transmitting the required
technical data to the virtual currency network.
To the fullest extent permitted by law, Monetrix is not liable for any damages, including but
not limited to loss of profit, revenue, business opportunities, data, or indirect and
consequential damages, unless such losses arise from a direct breach of these Terms of Use by
Monetrix.
Monetrix is not responsible for any internet connectivity issues, system malfunctions,
breakdowns, delays, or any reason why the platform may be temporarily unavailable.
Monetrix is not liable for delays in payment processing caused by third-party service providers,
including but not limited to banks, payment processors, or blockchain network congestion.
In the event of suspected fraud or illegal activity, Monetrix will report all necessary details,
including names, addresses, and any other relevant information, to the appropriate legal
authorities. Users acknowledge that their account or transactions may be frozen at any time if
requested by a competent authority conducting an investigation into fraud or unlawful
activity.
Nothing in these Terms of Use excludes or limits Monetrix’s liability for fraud, death, personal
injury caused by negligence, or any other liability that cannot be lawfully excluded or limited.
All content available on the Site and Widget, including but not limited to software, images,
graphics, text, videos, audio materials, data, and any other materials, is the property of
Monetrix and is protected by applicable intellectual property laws, such as patent, copyright,
trademark, and other relevant regulations, unless explicitly stated otherwise in these Terms of
Use.
The trademarks, service marks, logos, and other intellectual property used on the Site and
Widget, including those of Monetrix and its affiliates, are the exclusive property of Monetrix
and its respective owners. This also applies to the software, charts, graphs, images, text,
video, audio materials, prices, trades, applications, and data used on the Site and Widget. The
User is prohibited from reproducing, modifying, copying, posting, scraping, uploading,
transmitting, distributing, collecting, or republishing any content from the Site or Widget, in
any form or by any means, without obtaining prior written consent from Monetrix.
Monetrix respects intellectual property rights. If the User believes that their intellectual
property rights have been infringed, including but not limited to copyright claims or registered
trademark/service mark issues, please contact Monetrix by sending an email to
support@monetrix.eu.
The process of identifying and verifying users, commonly referred to as ‘Know Your Customer’
(KYC), is mandatory for all Transactions on the Monetrix platform, unless the transaction is
deemed occasional under Section 19 of the ML/TF Prevention Act and falls below the threshold
limit set by the AML/CFT Program. If the User declines to provide the required
documents and information for KYC, which may include additional details requested after the
establishment of the business relationship, Monetrix reserves the right to immediately terminate
its Services to the User.
The User grants Monetrix permission to conduct any necessary inquiries, either directly or
through third-party services, to validate the accuracy and relevance of the information provided
for verification purposes. Any personal data shared during this process will be strictly limited
to the minimum required and will be safeguarded using appropriate security measures to ensure
privacy and compliance.
The Platform enables the User to purchase and sell virtual currencies through the Monetrix Site
or Widget.
The User acknowledges that submitting a payment order requires careful consideration, and the
User accepts the consequences of its execution. Once a payment order has been executed, the
transaction is irreversible and cannot be canceled. Transactions will be executed immediately
and will be considered to have occurred at the time and date of execution.
The User acknowledges that transactions may be delayed due to KYC verifications and other
checks. Additionally, due to the nature of virtual currency networks, the transfer of virtual
currency to the specified wallet may take some time.
If the User discovers any unauthorized transaction activity, they must immediately notify
Monetrix and follow any instructions provided. Otherwise, Monetrix reserves the right to freeze
the funds until the investigation is complete.
Monetrix may be required to cancel or recall already executed Transactions at the request of
financial institutions, including but not limited to banks involved in the settlement of such
Transactions. In such cases, the User is obligated to cooperate with Monetrix to determine the
reasons for such requests.
In the event a User receives more virtual currency or fiat currency than intended due to an
error in transaction processing, system malfunction, or any other reason, the User is required
to promptly notify Monetrix of the discrepancy. The User agrees to refund the excess amount to
Monetrix as instructed by Monetrix without delay. Failure to do so may result in legal action,
and Monetrix reserves the right to initiate a recovery process for the excess funds, including
but not limited to freezing the User’s account, deducting the excess amount from the User’s
account, and taking any other action deemed necessary by Monetrix. The User acknowledges and
agrees to fully cooperate with Monetrix in resolving such discrepancies, including providing any
relevant information requested by Monetrix to facilitate the return of the excess funds.
Monetrix reserves the right to determine Transaction Fees at its discretion.
Monetrix is not responsible for exchange rates, processing fees, or any other fees imposed by
the User’s card issuer. These additional costs are the responsibility of the User.
The User agrees to pay Monetrix the Transaction fee for each completed Transaction.
Monetrix reserves the right to suspend or terminate a User’s Monetrix account or cancel a
Transaction at any time if it reasonably believes that such actions are required by law or
necessary to comply with regulatory or legal recommendations, or to prevent financial crime,
money laundering, terrorist financing, or proliferation of weapons of mass destruction.
Using the Platform for any illegal purposes is strictly prohibited. Monetrix will report any
suspicious activity to the relevant law enforcement authorities.
The User agrees not to use
the Services for transactions related to the following:
Money laundering, terrorist
financing, or proliferation of weapons of mass destruction.
Human trafficking or
exploitation.
Goods or services that are illegal or that involve illegal, obscene, or
harmful content, including the depiction of children or minors in sexualized contexts,
propaganda from unconstitutional organizations, or content that promotes war and violates human
dignity.
Goods or services, or their promotion, that infringe copyrights, trademarks,
industrial property rights, or other intellectual property rights of any individual or
entity.
Archaeological artifacts or items that may violate cultural preservation laws.
Drugs, narcotics, hallucinogens, or controlled substances.
Weapons, explosives, or related
materials.
Illegal or unauthorized gambling services.
Ponzi schemes, pyramid schemes, or
other " get-rich-quick " financial schemes.
Goods subject to trade restrictions
or embargoes by national or international authorities.
Media that is harmful to minors or
violates laws concerning the protection of minors.
Human body parts, remains, or any related
materials.
Endangered or protected animal species or plants.
Weapons or explosive
devices.
Any other illegal goods, services, or transactions that violate applicable laws.
Monetrix is an independent and self-regulated company that reserves the right to accept,
provide, restrict, or deny Services based on its internal policies, as well as applicable
regulatory and legal requirements.
Monetrix undertakes thorough screening of its Users and
takes appropriate action to ensure that Services are not provided to individuals or entities
located in unsupported countries or regions.
By accessing and using the Services, the User confirms that they :
Users who violate the rules specified in Clause 12 are subject to an immediate ban without any
refund of pledge funds, once detected by Monetrix.
Users who illegally or fraudulently
manage to access the Services by violating the rules outlined in Clause.
will be subject to
an immediate ban, without a refund of any pledge funds, upon detection by Monetrix.
Users
found in violation of the rules in Clause.
are solely responsible for any legal
consequences or actions that may arise from the relevant authorities.
It is the responsibility of the User to maintain the confidentiality of their Account
information and to ensure the security of any Transactions made through the Account.
Monetrix personnel will never ask the User for their login credentials. The User should contact
Monetrix immediately if they receive any message or encounter any website requesting their login
credentials, other than the official Monetrix website.
The User should not allow anyone to
access their Account or observe them while accessing their Account.
If the User has concerns
about the security of their Account, login credentials, security features, or any unauthorized
access or use, they should contact Monetrix immediately. Any delay in notifying Monetrix may
jeopardize the security of the Account and make the User liable for any resulting losses.
The User must take reasonable precautions to ensure the security of their email account(s),
ensuring that they are only acc
The User may terminate the Terms of Use and close their Account at any time, provided that any
ongoing Transactions are completed.
The User acknowledges that Monetrix reserves the right,
at its sole discretion, to notify the User and terminate their access to the Site and Account.
This may include limiting, suspending, or terminating the User's access to the Service and User
Account, restricting access to the Site and its content, services, and tools, removing or
delaying hosted content, and taking technical and legal actions to prevent access to the Site.
Monetrix may take these actions if the User creates problems, poses potential legal liabilities,
infringes on third-party intellectual property rights, or violates the Terms of Use. In certain
circumstances, Monetrix may suspend or terminate User Accounts for any reason, including, but
not limited to, unauthorized access attempts to the Site or another User’s account, bypassing
security features, using the Service for illegal activities ( e.g., money laundering or
illegal gambling ), violating the Terms of Use, failing to pay for Transactions,
fraudulent payments, operational difficulties, or in response to legitimate and compelling
requests from law enforcement or government agencies.
Monetrix also reserves the right to
cancel unconfirmed or inactive Accounts that have been dormant for more than six (6) months,
and/or modify or discontinue the Site or Service. The User agrees that Monetrix will not be held
liable for any termination of their Account or access to the Site.
Suspension of the Account
will not affect the User's obligation to pay Transaction fees for past Transactions.
After
the cancellation of a Transaction and termination of the Account, Monetrix will unblock any fiat
funds held in the User's payment card account, in compliance with payment system and payment
card issuer regulations. If the Transaction was performed using a cash-in terminal, the User
must provide valid bank account information to facilitate the transfer of funds back to the
User. Monetrix will make efforts to transfer the fiat funds as quickly as possible following the
User’s request, in compliance with the specified time frames.
Monetrix will send the User
the fiat funds used for the canceled Transaction. However, in certain cases, intermediaries or
the beneficiary bank involved in international payments may deduct charges. Monetrix will make
reasonable efforts to disclose these charges to the User before sending the payment. If these
charges are unavoidable, the User acknowledges that they may not always be predictable in
advance and agrees to bear responsibility for them.
Monetrix explicitly states that it does not offer any financial, investment, or legal advice regarding the Services it provides. While Monetrix may provide information related to the price, range, and volatility of virtual currencies, as well as any events that could potentially affect virtual currency prices, such information should not be interpreted as financial or investment advice. It is solely the responsibility of the User to decide whether to purchase virtual currencies. Monetrix will not be held liable for any resulting losses or damages.
The User is responsible for paying any taxes or duties that may result from their use of
Monetrix services, in accordance with the regulations of their country of residence.
Monetrix is not liable for any violations committed by the User related to their obligation to
calculate and pay taxes and duties.
Monetrix has the right to communicate with the User through any available means of communication
using the contact details provided by the User.
The User agrees to receive notices in
electronic form and agrees to be bound by them, if required by the Terms of Use.
These Terms of Use shall be governed by the laws of Poland and interpreted accordingly unless
otherwise specified. All disputes and controversies arising out of or in connection with this
website and these Terms of Use shall be referred to the Polish court in Poznań as
the Court of first instance.
If any part of these Terms of Use is considered invalid or
unenforceable for any reason, it will not affect the validity and enforceability of any
remaining provisions.
Any dispute or controversy arising out of or in connection with these
Terms of Use shall be attempted to be resolved through mediation or arbitration. The mediation
or arbitration proceedings shall be conducted in accordance with the rules of the Polish
Court in Poznań. In case arbitration or mediation is not suitable for the User, the
User has the right to take the matter to court in Poland as per the EU, Consumer Rights
Directive.
If the parties fail to reach an amicable settlement through mediation or
arbitration or the User would prefer to, the case shall go to court in Poland, in accordance
with the rules of the Polish Court in Poznań.
The prevailing party in any
arbitration proceeding or lawsuit arising out of or in connection with these Terms of Use shall
be entitled to recover reasonable attorney fees and costs incurred in such proceedings.
Monetrix, its officers, directors, employees, agents, and all third-party service providers
shall not be liable to the User or any other person or entity for any direct, indirect,
incidental, special, punitive, or consequential damages whatsoever, including those resulting
from:
(I) the accuracy, completeness, or content of this Site,
(II) the accuracy,
completeness, or content of any sites linked to this Site,
(III) the services found at this
Site or any sites linked to this Site,
(IV) personal injury or property damage of any nature
whatsoever,
(V) third-party conduct of any nature whatsoever,
(VI) any unauthorized access
to or use of our servers and/or any and all content, personal information, financial
information, or other information and data stored therein,
(VII) any interruption or
cessation of services to or from this Site or any sites linked to this Site,
(VIII) any
viruses, worms, bugs, Trojan horses, or the like which may be transmitted to or from this Site
or any sites linked to this Site,
(IX) any User Content or content that is defamatory,
harassing, abusive, harmful to minors or any protected class, pornographic, “X-rated”, obscene,
or otherwise objectionable and/or
(X) any loss or damage of any kind incurred as a result of
the User’s use of this Site or the services found at this Site, whether based on warranty,
contract, tort, or any other legal or equitable theory, and whether or not Monetrix is advised
of the possibility of such damages.
The User acknowledges and agrees that any cause of
action arising out of or related to this Site or the services found at this Site must be
commenced within one (1) year after the cause of action accrues, otherwise such cause of action
shall be permanently barred. Furthermore, the User acknowledges and agrees that in no event
shall Monetrix's total aggregate liability exceed the total amount paid by the User for the
particular services that are the subject of the cause of action.
Monetrix's limitation of
liability shall apply to the fullest extent permitted by law and shall survive any termination
or expiration of this agreement or the User’s use of this Site or the services found at this
Site.
The User agrees to defend, indemnify, and hold harmless Monetrix, its officers, directors,
employees, agents, and third-party service providers from any and all claims, demands, losses,
liabilities, expenses, costs, and damages, including reasonable attorneys’ fees, arising from or
related to:
(i) the User’s use and access of this Site, Widget, or the Services offered on
this Site or Widget,
(ii) the User’s violation of any provision of the Terms of Use or any
policies or agreements incorporated herein, and/or
(iii) the User’s violation of any
third-party right, including without limitation any intellectual property or proprietary
rights.
The User’s obligations to indemnify will survive the termination or expiration of
the Terms of Use or the User’s use of this Site and Widget or the Services found on this Site or
Widget.
Monetrix has the right to modify or amend any part of these Terms of Use at any time by posting
the updated version of the Terms of Use on the Site. The changes will be effective and deemed
accepted by the User the first time they use the Services after the updated Terms of Use are
posted and shall apply only to any activity initiated after the posting. If the User does not
agree with any modification, their only option is to terminate the use of the Services and close
their Account.
The User acknowledges that Monetrix will not be held responsible for any
losses resulting from any modification or amendment to these Terms of Use, and that Monetrix
shall not be liable to the User or any third party.
In the event that Monetrix is unable to provide the Services as outlined in the Terms of Use due to factors beyond its control, including but not limited to Force Majeure events, changes in the law, or changes in sanctions policy, Monetrix shall not be held responsible to the User for the Services provided during the period of the event.
Crypto Delivery Time When customers make a transaction through Monetrix, Monetrix will only capture the payment once the cryptocurrency transaction has been broadcasted on the relevant blockchain and the transaction ID has been provided to the customer. The time between Credit Card Authorizations and Capturing is usually no more than a few seconds while anti-fraud, AML, KYC, and CFT checks are performed. When payment is made through bank transfer or alternative payment methods, cryptocurrency delivery happens seconds after Monetrix receives the payment, once anti-fraud, AML, KYC, and CFT checks have been performed. If anti-fraud, AML, KYC, or CFT fail, the payments will immediately be refunded, on the basis that the funds are not associated with Money-Laundering, Terrorism-Financing, or Sanctions.
Be aware that any activity and transactions with Monetrix and other Virtual Asset Service Providers come with significant risks, including the potential for substantial loss.
